Logismos Terms of Use

Agreement and service scope

Effective date: October 1, 2026

Provider: The Fort Maywood Companies, LLC of Delmar, NY 12054 ("Logismos," "we," "us," or "our"). Service website: https://logismos.fortmaywood.com or https://logismos.io.

1 Acceptance and contracting parties

These Terms of Use govern access to the Logismos hosted accounting application, related websites, and services we make available under a subscription (the "Service"). By affirmatively accepting these Terms through the signup or ordering process, you agree to them. If you accept for an organization, you represent that you have authority to bind it; "Customer" and "you" refer to that organization. If you lack that authority or do not agree, do not access the Service.

2 Eligibility and authorized users

The Service is offered for business accounting use. Eligibility and availability are limited to small businesses and sole proprietorships, including businesses operating under a DBA, limited liability companies (LLCs), and S corporations, in the United States only and subject to a minimum user age of 21 years. You are responsible for users you authorize, their permissions, and their compliance with these Terms. Keep account and billing information accurate, protect credentials, and promptly revoke access when it is no longer appropriate. Notify us promptly of suspected unauthorized access at info@fortmaywood.com.

3 Subscription access and service changes

During your subscription, we grant you a limited, nonexclusive, nontransferable right to use the Service for your business purposes within your purchased plan and documented usage limits. No software ownership transfers to you. Features, limits, support, and any availability commitment are those expressly described in your order or plan at purchase. No particular uptime, response time, or recovery time is promised unless agreed in writing. We may maintain and improve the Service, but will give reasonable advance notice of a material reduction in paid functionality; if it substantially impairs your use, you may terminate the affected subscription and receive a prorated refund of prepaid unused fees.

4 Order documents and related policies

An accepted order identifies the plan, term, fees, and any expressly agreed variations. A signed order prevails over conflicting provisions of these Terms only to the extent expressly stated. An applicable data processing agreement prevails for conflicts concerning personal-data processing. Our Privacy Notice at https://logismos.io/privacy explains our handling of personal information. Purchase-order boilerplate does not amend this agreement. Any separately purchased payment, payroll, tax-filing, or regulated service requires applicable additional terms and authorization.

Accounting responsibilities and integrations

5 Accounting and financial information

The Service provides software tools, not accounting, auditing, tax, legal, investment, or fiduciary advice. We do not become your accountant, bookkeeper, bank, or financial adviser by providing it. Unless expressly covered by a separate written agreement, we do not prepare or file returns, certify financial statements, hold customer funds, or execute payments. You remain responsible for your accounting policies, tax positions, filings, payment approvals, legal compliance, and required record retention.

You must review imported and entered information, transaction classifications, reconciliations, calculations, reports, and any automated suggestions before relying on them. Data feeds and automated outputs can be delayed, incomplete, duplicated, or incorrect. Verify balances and transactions against original records and financial institutions. Maintain appropriate approvals and independent copies of records needed for audits, taxes, and business continuity. Migration from another accounting product does not guarantee complete transfer, identical calculations, or compatibility with its features.

6 Third party integrations

You may choose to connect banks, data aggregators, payment providers, accountants, or other third parties. You authorize us to access and exchange the data needed for the connection you enable, within its permissions and your instructions. You must have authority to connect each account and share its data. Review the provider's terms and privacy practices before connecting. Use the supported authorization flow; do not give us banking passwords through support channels.

Third-party services operate under their own terms and may charge separate fees. Their availability, security, data accuracy, and functionality are outside our control. Connections may expire or be changed or discontinued. We remain responsible for our own obligations under these Terms, including our handling of data received through an integration. Disconnecting stops future authorized access through that connection but does not necessarily remove data already imported or copies held by the third party. Contact the relevant provider to revoke its separate permissions or request deletion.

7 Account administration and support

An organization's authorized administrator may manage users, permissions, billing, exports, and account settings. You are responsible for choosing administrators and resolving internal ownership disputes. We may request reasonable evidence of authority before changing account control. Support is available through support@logismos.io. Applicable support scope: support for use of the software only; accounting support is excluded. Do not send passwords, full payment-card details, or unnecessary sensitive financial records in a support request.

Subscriptions and payment

8 Fees and billing authorization

Fees, currency, billing frequency, subscription length, included usage, and any metered or overage charges must be disclosed in the accepted order or checkout before purchase. You authorize the payment processor to charge the approved payment method for those fees and applicable taxes. We will not impose an undisclosed usage charge. You are responsible for applicable transaction taxes other than taxes on our net income and may provide valid exemption documentation.

9 Renewal and trials

A paid subscription automatically renews for successive terms of the same length unless canceled at least three calendar days before the renewal date, measured in U.S. Eastern Time (EST or EDT, as applicable). The renewal price will be the price disclosed at purchase or a revised price notified under Section 11. Obtain and retain any separate renewal consent and provide reminders required by applicable law. Renewal authorization must be presented clearly during checkout.

A trial lasts 14 days. Unless canceled before conversion, a trial automatically converts to a paid subscription on the 15th day, immediately after the 14-day trial ends, only if its conversion date, price, billing cadence, and cancellation instructions were clearly disclosed and you expressly authorized conversion. Otherwise, paid service begins only after a separate purchase. Trial access and data handling at trial end are subject to Section 20.

10 Cancellation and refunds

You may cancel renewal using https://logismos.io/cancel or by contacting info@fortmaywood.com. We will confirm cancellation. Unless you request an earlier end or these Terms permit termination, paid access continues through the current paid term and future renewal charges stop. Deleting an app or stopping use does not itself cancel a subscription. Except for refunds expressly provided in these Terms, your order, or mandatory law, fees are nonrefundable and unused time does not receive a prorated refund. This does not limit billing-error remedies or rights that cannot lawfully be waived.

11 Price changes and overdue amounts

Price increases apply only at renewal, with at least 30 days written notice before the next renewal period begins and any additional notice or consent required by law. You may cancel before renewal if you do not accept. We may suspend paid access for undisputed overdue amounts after written notice and five days to resolve the issue. Contact info@fortmaywood.com promptly about billing errors; we will investigate in good faith. A good-faith dispute does not waive your obligation to pay undisputed amounts or shorten statutory dispute rights.

Customer data and security

12 Ownership and permitted processing

You retain all rights in data, records, files, and content you or your users submit or import, including financial records and customer, employee, vendor, and bank-transaction information ("Customer Data"). You grant us a limited right to host, copy, transmit, display, and process Customer Data only to provide, secure, support, and maintain the Service, follow your documented lawful instructions, and comply with law. No ownership transfers to us. This permission ends upon deletion under Section 20, except for permitted retained copies. You must have the rights, lawful basis, and required notices and consents to provide Customer Data and instruct its processing.

We will not sell Customer Data, use its identifiable contents for advertising, cross-product marketing, or unrelated product development, or train general-purpose AI models on it without your separate, express agreement and any legally required permissions. Accepting these Terms alone does not authorize those uses. Any optional authorization must state its purpose, data involved, recipients, and withdrawal method. Withdrawal stops future processing under that authorization, subject to legal requirements. Customer-directed automated features may process data only to deliver the requested function; that permission does not authorize model training. Service providers must be contractually restricted to authorized processing and appropriate confidentiality and security obligations.

13 Privacy and data processing

Each party must comply with privacy laws applicable to its activities. For personal information in Customer Data processed on your behalf, you determine the purposes and we act as your processor or service provider under your documented lawful instructions. For account administration, billing, legal compliance, and security activities whose purposes we independently determine, we act as a controller or business where applicable. This distinction does not authorize unrelated use of identifiable financial records. We may use service-usage metrics and irreversibly deidentified or aggregated information for service improvement only where they do not identify you, any individual, or another business; we will not attempt reidentification.

Our Privacy Notice at https://logismos.io/privacy explains the categories and sources of personal information collected, purposes, recipients, retention, applicable privacy choices and rights, and how to contact us. The Notice describes our practices; it does not expand the Customer Data permissions in these Terms. An applicable Data Processing Agreement (DPA) forms part of this agreement and governs processing on your behalf, prevailing for conflicts about that processing. Where required, the DPA must be in place before processing begins. The DPA is available at https://www.logismos.io/dpa.

The DPA will address documented instructions, confidentiality, safeguards, subprocessors, assistance with privacy requests, security incidents, return and deletion, and applicable transfer requirements. All hosting and processing of Customer Data take place in Amazon Web Services (AWS) data centers located in the United States. Direct privacy requests to info@fortmaywood.com. For requests concerning data we process for a business customer, we will assist that customer under the DPA rather than independently decide its response, unless law requires otherwise. Cancellation, export, deletion, backup retention, and legal holds remain governed by Section 20; cancellation does not itself require immediate deletion of all copies.

14 Safeguards and security incidents

We will maintain reasonable administrative, technical, and organizational safeguards appropriate to the nature of Customer Data and the risks of processing. Access by personnel and service providers will be limited to authorized purposes and subject to appropriate confidentiality duties. No system can be guaranteed completely secure. Specific certifications, encryption standards, backup schedules, or recovery objectives apply only when expressly documented and agreed; do not infer them from these Terms.

If we become aware of unauthorized access to or disclosure of Customer Data in our systems, we will notify you without undue delay and within any applicable legal or contractual deadline, provide available material information, and take reasonable steps to investigate, contain, and remediate. Send security reports to info@fortmaywood.com. You must maintain secure devices and access controls, use available account protections, and promptly notify us of suspected compromise.

Use restrictions and proprietary rights

15 Acceptable use

You must not use the Service to commit fraud, falsify records unlawfully, launder money, infringe rights, or violate applicable laws or sanctions. Do not upload malicious code, obtain unauthorized access, defeat security controls, interfere with other users, or overload the Service. Do not scrape or extract data belonging to others, resell access without permission, or bypass plan limits. Reverse engineering is prohibited except to the extent mandatory law permits it. Do not conduct intrusive security testing without prior written authorization.

Upload only data you are authorized to process. Do not upload payment-card authentication data, government-classified information, or other specially regulated information unless the Service expressly supports it and the necessary written arrangements are in place. Do not use the Service to make automated decisions with legally significant effects without lawful authority, required safeguards, and human review. We may investigate credible misuse and remove or restrict unlawful content as reasonably necessary, subject to applicable law.

16 Confidentiality

Each party will protect the other's nonpublic business, technical, and financial information disclosed in connection with the Service using reasonable care, use it only to perform or exercise rights under this agreement, and disclose it only to people and service providers who need it and are bound by appropriate confidentiality obligations. Customer Data is your confidential information. These duties do not cover information independently developed, lawfully received without restriction, already known without a duty of confidence, or publicly available without breach.

A party may disclose information as legally required, but will give advance notice where legally permitted and reasonable assistance, at the requesting party's expense, to seek protection. Confidentiality obligations continue for three years after termination, and for trade secrets and retained Customer Data for as long as their protected status continues. Privacy and security duties continue as otherwise required.

17 Service intellectual property

We and our licensors retain rights in the Service, its software, documentation, design, and branding, excluding Customer Data. You may give voluntary feedback, which we may use without compensation or restriction, but this does not permit disclosure of your confidential information or use of Customer Data beyond Section 12. You receive no trademark license other than permission reasonably necessary to identify the Service truthfully. Logismos is an independent product; references to other accounting products do not imply affiliation or endorsement.

Disclaimers and allocation of risk

18 Warranties and disclaimers

Each party represents that it has authority to enter this agreement. We will provide the Service with reasonable care and skill. To the maximum extent permitted by applicable law, except for express commitments in this agreement, the Service and third-party information are provided "as is" and "as available," and we disclaim implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant uninterrupted or error-free operation, complete data feeds, or any particular accounting, tax, financial, or business result. Nothing excludes warranties or remedies that cannot lawfully be excluded.

19 Liability and third party claims

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE UNDER THIS AGREEMENT FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL, EVEN IF ADVISED OF THEIR POSSIBILITY. THIS EXCLUSION DOES NOT PREVENT RECOVERY OF REASONABLE DIRECT COSTS OF RESTORING CUSTOMER DATA TO THE EXTENT OTHERWISE RECOVERABLE UNDER THIS AGREEMENT.

EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THE SAME AGGREGATE CAP APPLIES TO CONFIDENTIALITY, SECURITY, PRIVACY, AND INDEMNITY OBLIGATIONS; NO SEPARATE OR HIGHER CAP APPLIES TO THOSE OBLIGATIONS, SUBJECT TO THE EXCEPTIONS BELOW..

The exclusions and cap do not apply to fraud, willful misconduct, your obligation to pay properly due fees, or liability that law prohibits limiting. They otherwise apply across contract, tort, and other legal theories, including to the indemnity and confidentiality obligations below unless expressly revised. They do not reduce statutory rights that cannot be waived.

You will defend us against a third-party claim that Customer Data infringes that party's intellectual property rights or that your unlawful use of the Service violates its rights, and pay damages and reasonable settlement amounts finally awarded or approved under this paragraph. This does not cover claims caused by our breach or unauthorized modification or use of Customer Data. We must notify you promptly, allow you to control the defense with suitable counsel, and reasonably cooperate at your expense. No settlement may admit our fault, require nonmonetary obligations, or leave us without a full release without our consent, not unreasonably withheld.

If a third party alleges that our Service infringes its intellectual property, notify us promptly. We may obtain continued-use rights, modify or replace the affected functionality without materially reducing it, or terminate the affected Service and refund prepaid unused fees. This remedy does not eliminate claims for our breach or mandatory rights. We do not undertake to defend or indemnify you against third-party intellectual property claims. This does not limit the remedies expressly stated above or rights that cannot lawfully be excluded..

Termination and general terms

20 Suspension termination and data export

You may end this agreement by canceling all subscriptions; cancellation timing and refunds are governed by Section 10. Either party may terminate for a material breach not cured within 30 days after written notice. We may immediately restrict access to the extent reasonably necessary to address unlawful activity, a material security threat, or legal requirements, and will give notice and an opportunity to resolve the issue where lawful and practicable. We will restore access when the grounds are resolved. If we discontinue the paid Service for convenience, we will give 10 days advance notice and refund prepaid unused fees.

Export Customer Data using CSV files with UTF-8 encoding during the subscription. After termination, export access or assistance remains available for five days after termination, unless legally prohibited or unsafe; we will provide a reasonable alternative where practicable. Requested export assistance is charged at US $250 per hour, payable in advance. After that window, we will delete Customer Data from active systems within three days. Backup copies expire within 60 days under restricted access. We may retain data required by law or a documented legal hold only for the required purpose and duration. Confidentiality and security duties continue for retained copies. Termination does not replace your statutory record-retention duties. Accrued payment obligations and provisions intended by nature to survive remain effective.

21 Governing law and disputes

This agreement is governed by the laws of the State of New York, excluding conflict-of-law rules, subject to mandatory protections that apply to you. Courts located in Albany County, New York will have jurisdiction, except where mandatory law provides otherwise. Before bringing a claim, either party may request good-faith discussions through the legal contact below; this does not prevent urgent relief or suspend limitation periods. These Terms do not impose mandatory arbitration or a class-action waiver.

22 Changes notices and other provisions

We will notify you of material changes at least 30 days before they take effect, except urgent legal or security changes, for which we will give as much notice as practicable. Changes are prospective. Where consent is legally required, we will obtain it; otherwise continued use after the stated effective date constitutes acceptance. If you reject a material adverse change, you may terminate before it takes effect and receive a prorated refund of prepaid unused fees.

Notices will be sent to your account email or through the Service; legal notices to us must be sent to info@fortmaywood.com. Neither party may assign this agreement without the other's consent, except to an affiliate or as part of a merger, reorganization, or sale of substantially all relevant assets, provided the successor assumes the obligations. These Terms and applicable orders and data processing agreement are the entire agreement for the Service. An invalid provision is limited to the minimum necessary, with the rest remaining effective. Failure to enforce a provision is not a waiver. Neither party is responsible for delays caused by events beyond its reasonable control, but this does not excuse accrued fees or applicable data-protection duties.
